1.0 PURPOSE AND BINDING AGREEMENT
1.1 Intent of Policy This document constitutes the Master Pricing and Financial Operations Policy (herein referred to as the “Agreement”) for Cree Innovation and Technology Corp. (“Cree IT”). This Agreement exhaustively dictates the financial boundaries, billing methodologies, penalty enforcement, and operational protocols governing all professional services, hardware procurement, and managed subscriptions provided to the Customer (“Client”).
1.2 Universal Governance This Agreement supersedes all verbal negotiations and operates as the foundational financial governance document for all other Cree IT service agreements. By authorizing any work, accepting any hardware, or entering into any managed service agreement with Cree IT, the Client unconditionally accepts and agrees to be bound by the strict financial mechanisms, delinquency penalties, and liability limits outlined herein.
2.0 DEFINITIONS
2.1 Scope Creep: Any request made by the Client during an active project that demands functionality, hardware, or engineering time not explicitly defined and quantified in the original, signed Statement of Work (SOW).
2.2 Emergency Callout: Any demand for immediate, drop-everything technical intervention, or any request for service that falls outside of Cree IT’s standard operating hours (Monday through Friday, 08:00h to 17:00h MST).
2.3 Delinquency: The status of an account when an invoice remains unpaid beyond the strictly enforced Net-30 day payment window.
2.4 The Abandonment Protocol: The irreversible process initiated by Cree IT to dismantle services, revoke licenses, and permanently purge data when an account reaches severe, unrectified delinquency.
2.5 Hardware Procurement Barrier: The mandatory financial threshold requiring full, upfront capitalization before Cree IT will order physical infrastructure components on behalf of the Client.
3.0 SERVICE TIERS AND HOURLY BILLING ARCHITECTURE
Cree IT strictly categorizes its engineering labor into distinct tiers based on technical complexity and risk.
3.1 Standard IT and Field Operations
- 3.1.1 Scope: Foundational technical tasks, including Tier-1 helpdesk support, physical CCTV hardware installation, basic structured cabling (surface runs), and standard workstation deployments.
3.2 Advanced Networking and Security
- 3.2.1 Scope: High-level network desing, including the deployment of the CreeNet architecture, comprehensive cybersecurity penetration testing, firewall provisioning, and custom website architecture.
3.3 Server and Infrastructure Build
- 3.3.1 Scope: Mission-critical Design, including bare-metal server assembly, Proxmox hypervisor deployments, Virtual Machine (VM) architecture, and complex ZFS storage array management.
3.4 Minimum Billed Increments
- 3.4.1 Strict Tracking: All out-of-scope work, Break-Fix interventions, and ad-hoc support requests are strictly tracked and billed in mandatory thirty (30) minute minimum increments, regardless of whether the resolution takes two minutes or twenty-nine minutes.
3.5 The Absolute Pricing Rule
All pricing, fee structures, and billing terms associated with this policy (including the specific hourly rates for the tiers listed above, standard installation fees, and subscription costs) are strictly governed by the current Cree IT Master Pricing Policy rate card. Please refer to the Master Pricing Policy for all numerical financial obligations and terms.
4.0 EMERGENCY INTERVENTION AND AFTER-HOURS PROTOCOLS
4.1 The Emergency Multiplier
- 4.1.1 Trigger Conditions: If a Client requests immediate, critical response that forces Cree IT to bypass the standard ticketing queue, or if the intervention occurs outside of the 08:00h to 17:00h MST operational window, the intervention is automatically reclassified as an Emergency Callout.
- 4.1.2 Compounding Fees: Emergency interventions instantly incur a flat-rate Emergency Callout Fee simply for dispatch, followed immediately by escalated, premium hourly rates for the specific technical tier required to execute the repair.
5.0 SUBSCRIPTION BILLING AND THE DELINQUENCY TIMELINE
All managed services, software subscriptions, and cloud hosting agreements operate on a strictly enforced monthly timeline.
5.1 Advanced Billing and Net-30 Terms
- 5.1.1 Billing Cycle: All recurring managed services (including CreeNet, AtimôGate, ServerCare, and Digital Vault) are invoiced monthly in advance.
- 5.1.2 Strict Net-30: All invoices are due within thirty (30) days of issuance.
5.2 The Penalty and Suspension Cascade (CRITICAL) Failure to remit payment initiates an automated, non-negotiable penalty cascade:
- 5.2.1 Day 31 (Late Penalty): Invoices remaining unpaid at 31 days immediately accrue a compounding 2% monthly interest penalty.
- 5.2.2 Day 90 (Service Suspension): At exactly ninety (90) days of delinquency, Cree IT will execute an immediate, total suspension of all active services. Firewalls will revert to passthrough, cloud hosting will lock, managed backups will cease, and all active telemetry monitoring will be permanently disabled.
- 5.2.3 Day 120 (Account Abandonment & Data Purge): At one-hundred and twenty (120) days of delinquency, Cree IT legally abandons the account. All remote access tunnels are severed, proprietary credentials are stripped, and systems are reset to default vulnerabilities. Crucially, all Client data, backups, virtual machines, and cloud storage residing on Cree IT infrastructure will be permanently, cryptographically, and irreversibly destroyed.
6.0 FINANCIAL BOUNDARIES AND WITHHOLDING
6.1 Absolute Prohibition on Payment Withholding
- 6.1.1 The “Hostage” Exemption: Clients are strictly, legally prohibited from withholding payment for completed project milestones, delivered hardware, or active subscriptions due to unrelated support issues, minor aesthetic “tweaks,” or out-of-scope demands.
- 6.1.2 Enforcement: Any attempt to hold an invoice hostage to force Cree IT to perform unbilled Scope Creep will result in an immediate breach of contract, halting all ongoing engineering work until the account balance is cleared in full.
6.2 Hardware Capitalization
- 6.2.1 Upfront Funding: For major infrastructure projects (e.g., enterprise server builds), Cree IT absolutely does not act as a centralized bank or high-risk lender. Procurement of complex hardware strictly requires 100% upfront capitalization of the hardware invoice by the Client before Cree IT will initiate supply chain orders.
7.0 ENVIRONMENTAL & SITE CONDITIONS CLAUSE (MANDATORY)
Given the logistical realities of operating in the Northwest Territories, the financial implications of the environment must be acknowledged.
7.1 Travel Per Diems and Logistics
- 7.1.1 Geographic Reality: Any physical site visits required outside of the immediate Hay River municipal boundaries will incur strict travel, mileage, and standard Northern per diem charges, to be billed directly to the Client.
- 7.1.2 Weather Delays: If Cree IT technicians are dispatched to a remote site and become stranded due to extreme weather, sudden whiteouts, or the closure of the territorial highway/ice-road systems, the Client bears the financial responsibility for the extended travel time and associated standby costs.
8.0 Pricing
- 8.1 Standard IT & Field $135/hour. CCTV, Helpdesk, simple wiring, and installations.
- 8.2 Advanced Networking $160/hour. CreeNet architecture, Cybersecurity audits, Webdesign and penetration testing,
- 8.3 Server and Infrastructure Build $160/hour Proxmox host management, server development, and VM architecture.
- 8.4 CCTV Installation $320/unit. Includes 1 camera, 30m shielded CAT5e,surface run wiring, 1 JCT box, and labor.
- 8.5 CreeNet Managed Networks $350.00/Month Network Management subscription and maintenance.
- 8.6 AtimoGate $150.00/Month Proprietary gateway subscription and maintenance.
- 8.7 Cree IT Server Care $550.00/Month Patch management, VM resource allocation, and Proxmox/Host optimization. Backup 1TB.
- 8.8 Static Sovereign Webhosting $50/Month
- 8.9 Essential Managed Hosting $125/Month
- 8.10 Premium Concierge Hosting $450/Month
9.0 FORCE MAJEURE CLAUSE (MANDATORY)
9.1 Financial Exemption for Uncontrollable Variables Cree IT shall absolutely not be held financially liable, nor will it issue account credits or refunds, for service degradation, SLA breaches, or missed deadlines resulting from catastrophic events outside our direct infrastructural control.
9.2 Northern Realities This explicit Force Majeure exemption includes: acts of God, wildfires necessitating evacuation, extreme northern weather events, local power grid blackouts, or total regional telecommunications failures executed by upstream monopolies (e.g., Northwestel terrestrial fiber cuts or Starlink satellite degradation). The Client’s obligation to pay for managed service infrastructure remains intact even if the regional internet collapses, rendering the infrastructure temporarily inaccessible.
10.0 GOVERNING LAW
This Master Pricing and Financial Operations Policy shall be exclusively governed by and construed in accordance with the laws of the Northwest Territories and the federal laws of Canada applicable therein. All debt collection, contract disputes, and liability claims shall be resolved strictly within the courts of the Northwest Territories.
