CCTV & PHYSICAL SECURITY INSTALLATION

1.0 PURPOSE AND BINDING AGREEMENT

1.1 Intent of Policy This Master Service Agreement and Operational Policy (herein referred to as the “Agreement”) constitutes a legally binding contract between Cree Innovation and Technology Corp. (“Cree IT”) and the Customer (“Client”). This Agreement exhaustively governs the physical deployment, structural mounting, and network configuration of closed-circuit television (CCTV) surveillance systems.

1.2 Authorization and Liability Boundary By engaging Cree IT for the installation of surveillance hardware, the Client explicitly authorizes structural alterations to their property (including, but not limited to, drilling, mounting, and fastening). Furthermore, this Agreement establishes rigid boundaries regarding liability for property damage, concealed utilities, and ongoing hardware operation.

 

2.0 DEFINITIONS

2.1 CCTV Hardware: The physical surveillance cameras (including but not limited to authorized partner hardware such as Axis Communications or Reolink turret/dome systems) utilized to capture video data.

2.2 Network Video Recorder (NVR): The centralized hardware appliance responsible for receiving, decoding, and archiving the video feeds transmitted by the CCTV Hardware.

2.3 Junction Box: A weather-rated, structural enclosure utilized to protect vulnerable cable terminations and connections from moisture, debris, and extreme environmental exposure.

2.4 Concealed Utilities: Any plumbing pipes, natural gas lines, electrical wiring, HVAC ducting,or structural reinforcements hidden behind drywall, exterior cladding, or within ceiling voids.

2.5 Make-Good Repair: The cosmetic restoration of a property to its original state (e.g., drywall mudding, sanding, painting) following a necessary physical alteration or structural penetration.

 

3.0 SCOPE OF SERVICES (INCLUSIONS)

 Cree IT explicitly limits its deliverables under the standard CCTV Installation service to the following procedural parameters:

 3.1 Cabling and Infrastructure

• 3.1.1 Cable Provisioning: Cree IT shall supply and run up to a maximum of thirty (30)meters (approximately 100 feet) of outdoor-rated, Shielded Category 5e (Cat5e) Ethernet cabling per camera unit.

• 3.1.2 Routing and Termination: The cable will be routed utilizing standard surface-run or basic drop-ceiling techniques. Cree IT will terminate both ends of the cable with standard RJ45 connectors and verify signal continuity.

3.2 Mounting and Physical Deployment

• 3.2.1 Weather Sealing: Cree IT shall supply and install one (1) weather-rated CCTV Junction Box per exterior camera to house and protect the RJ45 connection point from environmental degradation.

• 3.2.2 Hardware Affixation: Cree IT technicians will physically mount the camera hardware to the building’s exterior façade or interior wall/ceiling structures using industry-standard masonry or wood fasteners.

3.3 Configuration and Calibration

• 3.3.1 Lens Adjustment: Following physical mounting, technicians will power the unit, test the digital signal, and perform mechanical aiming and focal adjustments to capture the Client’s requested field of view.

• 3.3.2 Basic Network Handshake: Cree IT will ensure the camera is communicating over the local network with the Client’s Network Video Recorder (NVR).

4.0 EXCLUSIONS AND OUT-OF-SCOPE SERVICES

 To prevent scope creep, the following services and infrastructure modifications are strictly excluded from the standard installation baseline and will require separate work orders:

4.1 Extended Cabling and Trenching

• 4.1.1 Distance Exceedances: Any single cable run requiring more than thirty (30) meters of Cat5e wire is strictly out-of-scope.

• 4.1.2 Underground Operations: Trenching, directional boring, or burying cables in the earth is explicitly excluded from standard installation parameters.

4.2 Specialized Access and Elevated Environments

• 4.2.1 Height Restrictions: Standard installation covers mounting heights safely accessible via standard extension ladders (approximately 10 to 12 feet).

• 4.2.2 Heavy Machinery: The deployment, rental, and operation of scissor lifts, articulated boom lifts, or the construction of scaffolding for elevated installations are explicitly excluded.

4.3 Electrical and Conduit Fabrication

• 4.3.1 Not Electricians: Cree IT acts strictly as an IT engineering and low-voltage installation firm. We are not certified electricians. The installation of high-voltage 120V/240V power outlets to support NVRs or switches is explicitly excluded.

• 4.3.2 Conduit Work: The bending, cutting, and installation of rigid PVC or EMT metal conduit is not included in the standard installation baseline unless explicitly drafted into a customized Statement of Work.

 

5.0 STRUCTURAL ALTERATIONS & LIABILITY WAIVERS (CRITICAL)

 CCTV installation inherently requires penetrating the building envelope. The Client must acknowledge the following liability limitations regarding their property:

5.1 Authorization to Alter the Building Envelope

• 5.1.1 Unrestricted Penetration: The Client hereby grants Cree IT unrestricted permission to drill holes, drive structural screws, and attach fasteners to interior and exterior surfaces (including masonry, vinyl siding, drywall, steel cladding, and soffits) as technically required to secure the hardware.

5.2 Concealed Utilities and Blind Drilling

• 5.2.1 Disclosure Duty: It is the absolute, non-transferable duty of the Client to inform Cree IT of the precise location of any and all concealed utilities (water, gas, high-voltage electrical) before any structural drilling commences.

• 5.2.2 Liability Release: Cree IT technicians will assess the visible environment; however, they cannot see through opaque walls. Cree IT assumes zero liability, financial or otherwise, for damage caused to concealed pipes, wires, or structural members that were not clearly marked or explicitly disclosed by the Client prior to the commencement of drilling operations.

5.3 Cosmetic Repairs and the “Make Good” Exemption

• 5.3.1 Engineering, Not Contracting: Cree IT operates as a specialized technical installer, not a general contractor, drywaller, or painter.

• 5.3.2 Exemption from Restoration: While technicians will execute reasonable care, Cree IT is strictly exempt from performing “make good” cosmetic repairs. We are not responsible for patching drywall, sanding, repainting, or repairing minor cosmetic spalling/chipping on masonry or siding that occurs incidental to drilling or wire fishing.

6.0 ENVIRONMENTAL & SITE CONDITIONS CLAUSE (MANDATORY)

Given the extreme realities of operating in the Northwest Territories, the Client must ensure thesite is prepared for deployment.

6.1 Site Safety and Winter Operations

• 6.1.1 Ice and Snow Clearance: For exterior installations conducted during winter months, the Client is legally required to ensure the immediate work area (specifically the ground below ladder placement) is cleared of snow accumulations, ice patches, and slipping hazards.

• 6.1.2 Right of Refusal: Cree IT technicians reserve the absolute right to halt work, refuse deployment, and reschedule the installation if safe, stable footing for elevated ladder work cannot be guaranteed.

6.2 Hazardous Materials Discovery

• 6.2.1 Asbestos and Toxic Substances: If technicians discover, or reasonably suspect, the presence of asbestos, black mold, or other hazardous materials at the drill site or within ceiling voids, all work will immediately cease. The Client assumes full responsibility and financial burden for specialized remediation before Cree IT will resume the installation.

6.3 Water Ingress and Structural Integrity

• 6.3.1 Sealing Standard: Cree IT utilizes industry-standard ingress protection methods, including silicone sealants, weather-rated grommets, and cable drip loops for all exterior penetrations.

• 6.3.2 Pre-existing Degradation: Cree IT is not liable for water ingress, rot, or structural damage resulting from the pre-existing decay of the mounting surface, subsequent shifting/settling of the building foundation, or extreme weather events that exceed the engineered rating of the building’s facade.

6.4 Proper Disposal and E-Waste

• 6.4.1 E-Waste Protocols: If the installation involves the removal of legacy surveillance hardware, Cree IT will package the defunct hardware. The Client is responsible for the proper disposal of electronic waste in accordance with territorial environmental regulations unless a specific e-waste removal fee is added to the project scope.

 

7.0 FINANCIAL TERMS AND PRICING

7.1 The Absolute Pricing Rule

All pricing, fee structures, and billing terms associated with this policy are strictly governed by the current Cree IT Master Pricing Policy. Please refer to the Master Pricing Policy for all financial obligations and terms.

 

8.0 WARRANTY, OWNERSHIP, AND CLIENT RESPONSIBILITY

8.1 Segregation of Warranties

• 8.1.1 Workmanship Warranty (Labor): Cree IT warrants the physical installation labor (e.g., the stability of the mount, the integrity of the RJ45 cable termination) for a period ofone (1) year from the date of final commissioning. Should a camera detach from the structure or a cable end fail due to verified poor workmanship, Cree IT will remediate the specific failure.

• 8.1.2 Hardware Defect Warranty (Silicon): The camera hardware, NVRs, and associated electronics are covered solely and exclusively by the original manufacturer’s warranty. Cree IT does not underwrite the lifespan of silicon. If a device suffers an electronic failure, Cree IT will facilitate the Return Merchandise Authorization (RMA); however, standard labor rates apply to dismount the defective unit and deploy the replacement.

8.2 Client Operational Responsibilities

• 8.2.1 Power and Network Stability: The Client is solely responsible for providing continuous electrical power and an active, stable internet connection to the NVR. Cree IT is not liable for the Client’s inability to remotely view camera feeds due to local ISP outages, bandwidth saturation, or internal router reboots.

• 8.2.2 End-User Device Management: Cree IT will assist in configuring the primary administrative mobile application on one (1) Client smartphone. The subsequent management of passwords, sharing feeds with employees, and installing the application on secondary devices remains the exclusive responsibility of the Client.

 

9.0 LIMITATION OF LIABILITY AND FORCE MAJEURE (MANDATORY)

9.1 Surveillance vs. Security Guarantee

• 9.1.1 Tool, Not a Guard: Cree IT engineers and deploys technical surveillance tools. We do not provide physical security guard services, active monitoring, or immediate law enforcement dispatch.

• 9.1.2 Liability for Loss: Cree IT accepts absolutely no liability for theft, vandalism, trespassing, or property damage that occurs at the Client’s premises, regardless of the presence, operational status, or captured footage of the installed CCTV system.

9.2 Maximum Financial Liability Cap

• 9.2.1 Claim Limit: In the event of an incident where Cree IT is found legally liable for property damage arising directly from the installation process, the aggregate maximum financial liability is strictly capped at the total amount of the Installation Fees paid by the Client for that specific project phase.

9.3 Force Majeure

• 9.3.1 Extenuating Circumstances: Cree IT shall be immune from liability for failure to meet installation deadlines or service level agreements due to events outside our direct control. This includes, but is not limited to: severe northern weather systems preventing safe travel or outdoor work, regional telecommunications outages, supply chain delays impacting hardware procurement, and acts of nature.

 

10.0 GOVERNING LAW

This Agreement is governed by and construed in accordance with the laws of the Northwest Territories and the federal laws of Canada applicable therein. Any disputes shall be resolved in the appropriate courts of the Northwest Territories.
